Have you looked at Mambo's migration scripts?

I'm fairly sure they have a script to automatically move from php-nuke to 
Mambo.

Mambo isn't the same type of CMS as php-nuke, the latter being far more a 
"community portal" type CMS but it may suit.

Alternatively there may be scripts to move over to postnuke which IIRC is 
supposed to be a more secure alternative to php-nuke while still being 
community orientated.

URLs are just a matter of apache mod-rewrite.
