This is a job for WebDAV, I think.  WebDAV, if you didn't know, is a 
standard for filesharing over HTTP.  Allows acls, locks and versioning.  
There are a range of servers and clients out there and you can use 
TLS/SSL as the basis of your security.  Office 2000/Win2k supports WebDAV 
(slightly borked, as usual).
