I don't think there should be any problem. Make sure you start with
the most recent version of CentOS 5 (ie. RHEL 5.2 or 5.3 depending on
when you get around to installing it).
I have to ask, though, why on earth VMware?

RHEL 5 is based on 2.6.18, plus the huge amount of work that we spend
on backporting drivers from > 2.6.18, so I really don't think you will
have a problem.
